THE PROMOTION1.1 The title of the Promotion is “Red Bull Tetris”.1.2 This Promotion starts on 06/06/2025, at 12:00:00 UTC+1 and ends on 18/10/2025, at 23:59:00 UTC+1(inclusive). For the Second Stage, a Private Custom Leaderboard will be opened to let players participate in theNational Finals (Stage Two), this Leaderboard will start on 29/10/2025 at 9:00:00 (UTC+1) and will end on31/11/2025 at 12:00:00 (UTC+1).1.3 This is not a prize competition governed by Presidential Decree 430/2001, as there is no entry fee and the winneris determined based on merit (not by drawing or chance). The event is considered a free skill-based competitionand does not fall under the regulations for prize contests.1.4 NO PURCHASE OR OTHER CONSIDERATION NECESSARY TO PARTICIPATE. THE ORGANIZERThis Promotion is run by Ouroboros Society A.S.D. & A.P.S., pursuant to Legislative Decree No. 36/2021 andLegislative Decree No. 117/2017:- Legislative Decree No. 36/2021 – Sports Reform, which governs the activities and organization of AmateurSports Associations (ASD).- Legislative Decree No. 117/2017 – Third Sector Code, which regulates Social Promotion Associations (APS).whose registered office is located at Via Campo Dei Fiori,16 Cairate - 21050 (VA), (the ”Organizer”), with remotesupport of [Red Bull supplier entity for this DP], whose registered office is located at Via Filippo Argelati, 22,20143 Milano (MI) ("Red Bull") and Red Bull’s cooperation partners, agencies and service providers. Unlessexplicitly provided otherwise in these Terms, in relation to You, Organizer is your sole contractual partner withregard to the Promotion.3. ELIGIBILITY3.1 In order to enter this Promotion and be eligible to receive a reward, You must satisfy the following eligibilitycriteria:2a. You must be a natural person of 18 years of age or older at the time of entry. If You are 18 years of age or olderat the time of entry but under the age of majority in your country of residence, You are only entitled to participatein this Promotion under the active supervision of a parent or legal guardian (“Guardian”) who has read andagreed to these Terms on your behalf.b. RULES OF PARTICIPATION, SELECTION PROCESS AND REWARDS4.1 In order to successfully enter the Promotion, You will have to go to http://www.redbull.com/tetrisitaly and followthe given instructions step by step, which also requires You to log in or create a Red Bull Account to completeyour registration and submit Your results. This may require providing certain information, such as Your name andemail address and consenting (where applicable) to required documents as part of the registration process.4.2 The Promotion comprises of two (2) stages:Online Qualifiers (“Stage One”)4.3 In Stage One, You must play Red Bull Tetris Game on http://www.redbull.com/tetrisitaly in the given time ofthree (3) minutes, aiming to achieve the highest possible score and submit Your game results. To be able to submitYour game results, You must register for the Promotion by logging in or creating a Red Bull Account and providingcertain information, such as Your name, surname, email address, tax identification number (TIN), date of birth,country of residence and consenting (where applicable) to required documents.4.4 After playing the game, You can submit Your game results to be listed on a leaderboard (“National Leaderboard”),which is displayed on the Website. When submitting Your results on any of the Leaderboards displayed on theWebsite, You agree to have Your name and surname abbreviation displayed on the respective Leaderboard forthe purpose of showing Your submissions and ranking.34.5 Instructions on how to play Red Bull Tetris Game or any other necessary information about the Promotion isavailable on the Website at any time during the Promotion.4.6 The submission period starts on 06/06/2025, at 12:00:00 UTC+1 and ends on 18/10/2025, at 23:59:00 UTC+1(inclusive).. Entries after closing date will not be considered.4.7 There is no limit to the number of entries which may be submitted on the National Leaderboard.4.8 Subject to verification of eligibility and compliance with official rules, the top 7 participant(s) with the highestscore on the National Leaderboard will be the reward recipient(s).4.9 The reward for Stage One is proceeding to the next stage - the National Finals. This includes the coverage oftransportation costs, limited to economy-class travel via most cost-effective means, to the National Finals locationwhich will be communicated by the Organizer respectively. No further prize is attributable to this stage.4.10 The reward recipients will be announced either on the Promotion website by the Organizer on 22/10/2025 ornotified directly by the Organizer via the contact information You provided during the registration. On notification,the reward recipients will be provided with details on how and when to claim the reward. If a reward recipientcannot be contacted or is not available or has not claimed his/her reward within the period set forth, theOrganizer reserves the right to offer the reward within 1 day (number) after the expiration of the aforementionedperiod to the next highest-scoring eligible participant on the National Leaderboard.National Finals (“Stage Two”)4.11 In Stage Two, You will have to confirm Your participation in the National Finals by registering through the linkprovided by the Organizer. The Organizer will send this information using the contact details You provided duringthe registration for Stage One. This registration may require providing certain information, such as Your nameand email address and consenting (where applicable) to required documents as part of the registration process.4.12 Closing date for participation is: 31/10/2025 at 12:00:00 UTC+1. Entries after this date will not be considered.4.13 Only one entry per person is allowed.4.14 In Stage Two, You will compete with other participants from the National Finals by playing a Red Bull Tetris Gamein the given time frame, as communicated by the Organizer. This will take place during an in-person esportscompetition (“Event”) at the location specified by the Organizer in the reward notification.4.15 The National Finals will follow a bracket-style, head-to head format, where participants compete one-on-one. Toadvance to the next round, you must defeat your opponent by achieving a higher score than your opponent inthe given time frame. This elimination process in backet battle style continues until a single participant remains,who will be declared as the winner of the National Finals.4.16 The reward for Stage Two is taking part at Red Bull Tetris World Finals in Dubai and competing for the mainreward, which includes:(a) one return economy flight from National Finalist country of residence (or a nearby location to bedesignated by the Organizer) to the location of the Red Bull Tetris World Final in Dubai. The timing ofthe flights lies within the sole responsibility of the Organizer. The exact dates of departure to and fromthe World Final will be announced separately;(b) twin-room hostel/hotel (3 starts hotel or above) accommodation during the stay;(c) full access to attend the Red Bull Tetris World Final;4(d) all transfers at the location of the Red Bull Tetris World Final to and from the airport and to and fromthe event;(e) food and beverage costs at the event.4.17 The reward recipient will be announced on the Promotion website by the Organizer on 2/11/2025. Onnotification, the reward recipient will be provided with details on how and when to claim the reward. If a rewardrecipient cannot be contacted or is not available or has not claimed his/her reward within the period set forth,the Organizer reserves the right to offer the reward 1 day (number) after the expiration of the aforementionedperiod to the participant who placed second during the National Finals.4.18 No further reward(s) is/are attributable. The total value of each reward will not exceed EUR 4.000,00 per person(or equivalent in local currency).4.19 Please note that for entering and participating at the Red Bull Tetris World Finals in Dubai, acceptance of newTerms of Participation is required. If no acceptance is given by You, the Organizer of this Promotion will appointa suitable runner-up in accordance with the selection process.GENERAL TERMS1. CONTACT DETAILS AND ENTRY1.1 The contact details You disclose by entering thePromotion will be used to correspond with You inconnection with the Promotion and also to notify Youof any rewards You may be entitled to receive. Pleasemake sure the provided information is accurate andinform the Organizer about any changes thereof (e.g.,if You change your email address or phone number).1.2 It will be at the Organizer’s sole decision as towhether any eligibility requirement has or has notbeen met. The Organizer reserves the right to verifythe information provided by You. Further, theOrganizer reserves the right to request You to provideproof of age, identity and/or other providedinformation at any time at its discretion. If thePromotion is only open to university students, You areobliged to provide eligible proof of universityenrollment. If You are under the age of majority inYour country of residence at the time of entry, You areobliged to provide evidence proving that Your parentor legal guardian (the “Guardian”) has given consentto Your participation and to the Terms in written form(consent of both Guardians might be required by theapplicable law of your country of residence). Failureto comply with such requests as well as incorrectand/or invalid information (e.g., incorrect emailaddress, age or residence) may result in yourdisqualification.1.3 All entries must be received by the Organizer beforethe deadlines as defined in the Details of thePromotion. All entries received after the respectivedeadlines are automatically disqualified.1.4 Furthermore, the Organizer will not accept anddisqualify entries that are: (a) automatically generatedor influenced by computer; (b) completed by thirdparties (on your behalf) if your participation as a teamis not required; (c) incomplete, illegible, defaced,altered, reconstructed, corrupt, forged ormanipulated; or (d) created by using multipleaccounts; or e) submitted by a resident of a countrywhich is excluded from participation in the Promotion.1.5 No responsibility can be accepted for lost entries andproof of transmission will not be accepted as proof ofreceipt.2. FREE METHOD OF ENTRYIn case You are required to purchase a productand/or service to enter the Promotion according to theDetails of the Promotion, the Organizer will offer anadditional free method of entry if required by law.Please note that a purchase will not improve Yourchances of winning.3. NOTIFICATION, CLAIMING THE REWARD ANDOTHER PROVISIONS RELATING TO THE REWARD3.1 The Organizer or Red Bull will notify the rewardrecipient by email and/or telephone, and an5announcement may be made on the Website and/ora third-party platform. You agree that the Organizeror Red Bull may disclose your information (e.g., firstname, last name, nickname, picture and the fact thatYou received a reward in the course of the Promotion).3.2 On notification, the reward recipient will be providedwith details on how and until when to claim thereward. If a reward recipient – irrespective of thereason – (a) cannot be contacted; (b) is not available;(c) cannot claim or has not claimed the reward withintime; or (d) cannot accept the reward for any personalreason, the Organizer may offer the reward to thenext eligible participant, selected in accordance withthe selection process.3.3 The Organizer expects to be able to deliver thereward within 60 days from the reward claim or ashorter period if required by applicable law.3.4 The reward recipient has no rights or claims other thanthose explicitly stated in the Terms in connection withthe reward. Please note that no travel or other costswill be reimbursed for the participation in thePromotion except for those expressly mentioned in theDetails of the Promotion. Any other incidental costsand expenses associated with the reward, such assecurity fees, gratuities, luggage fees, snacks, drinks,and incidental charges are the responsibility of thereward recipient(s).3.5 If the reward includes travel: Each reward recipient(and, if applicable, his/her Guardian) must possessand show valid travel documents, prior to departure(e.g., valid passport or other acceptable governmentissued identification) as well as any required visas.Each reward recipient is personally responsible tocomply with any applicable travel requirements, inparticular, but not limited to vaccination, quarantinerequirements, etc. For the avoidance of doubt, theOrganizer or Red Bull will not be responsible for suchadditional requirements. Travel insurance andspending money are the specific responsibility of thereward recipient. Once airline tickets have beenissued, no changes will be permitted. The Organizerwill determine airline, airports, flight itinerary andovernight accommodations in its sole discretion.Ground transportation may be provided instead of airtransportation if the reward recipient resides within asmall radius of the destination, and no compensationor substitution will be provided for difference in value.Travel and accommodation restrictions, conditions,and limitations may apply. The Organizer will notreplace any lost, mutilated, or stolen tickets or travelvouchers. The Organizer does not make anyguarantees as to the safety of the destination. To theextent permitted by law, the Organizer is not liablenor responsible for any of the aforementioned.3.6 All rewards and products/services that are providedin the course of the Promotion (e.g., gifts and otherfree products) are awarded "as is" and withoutwarranty of any kind, express or implied (including,without limitation, any implied warranty of satisfactoryquality or fitness for a particular purpose). Therewards are personal and non-transferable and maynot be claimed by a third party on your behalf.Organizer may (but is not obliged to) offer cashalternatives for non-cash prizes (e.g., products andservices) at its sole discretion.3.7 To the extent permitted by law, the Organizer mayreplace any or all rewards with rewards of equal orgreater value.3.8 If any selected reward recipient does not fulfil theeligibility criteria, violates any applicable laws, orbreaches any other provision of the Terms, theOrganizer may select an alternative reward recipientin accordance with the selection process and/orrequire the return or reimbursement of any reward orits value where a reward has already been providedto the reward recipient.3.9 If the selected reward recipient is under the age ofmajority in the country of residence at the time ofclaiming the reward, the Organizer is entitled todetermine an alternate winner, if the acceptance ofsuch reward requires the approval of the Guardianand no such approval is given.3.10 If the reward includes travel: If the selected rewardrecipient is under the age of majority in the country ofresidence at the time of claiming the reward and if theattendance of a Guardian is legally required, theOrganizer might cover the reasonable pre-approvedtravel costs of the Guardian if outlined in the Detailsof the Promotion. The Terms (in particular clauses thatrelate to travel and liability) also apply to suchGuardians who accompany a minor reward recipient.3.11 The reward recipient will remain liable for all taxes(including interest and penalties) due and payable tocompetent tax authorities in respect of any rewards(e.g. any prize monies payable). In the event that anyrelevant and competent tax authority has or brings intoeffect rules binding on the Organizer (or its whole orpartial assignees or any of its affiliated companies)relating to the prior withholding of tax, the recipientagrees that he/she will be entitled only to the sumsreferred to in these Terms after deduction of any sumsrequired under such rules. If any relevant andcompetent tax authority should make a tax6assessment, claim, or demand of Organizer or any ofits affiliates to pay any tax calculated by reference tosums payable under these Terms, the Organizer mayrequest reimbursement of the full amount of such claimfrom the recipient.3.12 The Organizer is entitled to nominate a third-partyentity to pay out the reward to the reward recipient.3.13 Where local mandatory laws prohibit cash rewards,the Organizer will abstain from paying such. Thisincludes but is not limited to the following countries:Iceland, Italy, Croatia, Czech Republic, Hungary,Montenegro, Serbia, Colombia, Brazil, Hong Kong,Turkey, Federation of Bosnia and Herzegovina andRepublika Srpska of Bosnia and Herzegovina andUnited Arab Emirates. The Organizer will replace thecash reward with a non-cash reward permitted byapplicable law, which does not necessarily have tocorrespond to the value of the original cash reward.Further, in case the value of the reward exceeds themaximum amount permitted by mandatory law, theOrganizer reserves the right to replace such with asubstitute reward which is worth less than the originalreward.3.14 If the reward cannot be made available and/or losesits sense of purpose due to an event of force majeureas outlined in clause 5., the Organizer will replace itwith a substitute reward permitted by applicable law,which does not necessarily have to correspond to thevalue of the original reward. Reward recipients haveno rights or claims in connection with the substitutereward offered.4. ORGANIZER’S RIGHT TO CHANGE THE TERMSSubject to applicable law and/or the approval of anyapplicable regulator, the Organizer reserves the rightto change the details of the Promotion, such as dates,start time, location, format etc. Such changes will beavailable on the Website and apply to You withimmediate effect. You should check the Websiteregularly for any changes that apply from the datethey are uploaded.5. FORCE MAJEURE5.1 To the extent permitted by law, and without affectingyour statutory rights, if in the Organizer’s opinion thePromotion is compromised by any event beyond theOrganizer’s control and irrespective whether suchevent was known at the time or foreseeable (includingbut not limited to war, strike, riot, crime, epidemic,pandemic, widespread diseases, sudden legalchanges, extreme weather, government orders, travelrestrictions etc.), the Organizer may at any timemodify, terminate, amend, suspend, postpone, cancelor extend the Promotion and/or the Terms withoutresponsibility and liability for any amount or kind ofloss or damage arising therefrom (whether direct orindirect). The same holds true if the Organizerdetermines that the Promotion cannot be conducted asplanned or should a virus, bug, tampering orunauthorized intervention, technical failure or othercause beyond the Organizer’s control corrupt theadministration, security, fairness, integrity or properfunction of the Promotion. The Organizer will makereasonable efforts to inform You about any changesto the Promotion on the Website. However, Youacknowledge and agree that the Organizer maymake any such changes without informing orotherwise notifying You.6. DISQUALIFICATION6.1 At any time during the Promotion, the Organizerreserves the right in its sole discretion to disqualify anyparticipant, if (a) the participant fails to adhere to theTerms (e.g., infringes the eligibility criteria or theprerequisites applying to the Entry Materials); or (b)the Organizer has grounds to suspect that theparticipant is engaged in cheating or any other kindof illegal, unfair or inappropriate behavior. Suchbehavior can vary widely, and may include withoutlimitation using bots or other techniques to impede thePromotion or simulate participant actions, altering thenormal behavior of the Promotion’s software, actionsresulting in an unintended advantage for a participantas well as offensive language (e.g., inappropriatenicknames, vulgar, discriminatory or violentstatements). In case the Organizer disqualifies areward recipient, the Organizer will appoint asuitable runner-up in accordance with the selectionprocess.6.2 Furthermore, the Organizer may in its sole discretiondisallow or suspend votes and/or disqualify anyparticipant, if it has reason to believe that – where(social/public) voting is used as a selection process –anyone voting for such participant has been paid,incentivised or pressured in any way for placing theirvote, either by the participant or any third-party. Thesame applies if You use voting aggregators, voteexchange pages or other third-party means ofsoliciting votes.6.3 The Organizer’s decision is final, and nocorrespondence will be entered into.77. THIRD-PARTY PLATFORMSIn the event this Promotion is run via one or more thirdparty platform(s), the Promotion is not linked to thethird-party platform(s) and is not organized, endorsedor administered by, or associated in any way with thethird-party platform(s), unless otherwise specified inthe Details of the Promotion. Where a Promotionrequires entry via a third-party platform, You musthave access to the internet and an active third-partyplatform account. If You do not have such an account,You will need to create one in order to participate.Your use on the third-party platform(s) is subject to theterms and conditions located on such site.Furthermore, if You register for the Promotion viasocial sign-in e.g., Facebook, Twitter, Instagram orTikTok, additional information (e.g., age or location)may be provided to us. TheEntry Materials must be Your own work and must not:(a) be copied; (b) contain third-party materials; (c)contain any content You do not have permission to use(e.g. music which is not cleared by You forcommercial use); (d) be offensive, distasteful,defamatory, dangerous, obscene, inappropriate; (e)violate the rights of any third party (e.g., anyidentifiable persons appearing in the Entry Materials);(f) reflect a political statement; and/or (g) violate theTerms or breach any applicable laws.8.3 You warrant that the Entry Materials do not containmaterial that violates or infringes another’s rights orreflects a political statement, including but not limitedto privacy, publicity or intellectual property rights,contain brand names or trademarks, other than thoseof the Organizer or Red Bull, which You have a limitedlicense to use for the sole purpose of this Promotion,contain copyrighted material not created by You,other than material that You have necessary rights,consents and permissions to use, contain material thatis offensive, distasteful, dangerous, inappropriate,indecent, obscene, hateful, tortious, defamatory,slanderous or libelous and obtain material that isunlawful, in violation of or contrary to the laws orregulations in any jurisdiction where the EntryMaterials are created. In the event this Promotion isrun via one or more third-party platform(s), Youwarrant and represent that Your Entry Materials do notinfringe the Terms of the third-party platform(s).9. GRANT OF RIGHTS9.1 As consideration for You receiving the opportunity toparticipate in the Promotion and win a reward, Youhereby assign to Red Bull all rights in the Materials inany and all media (now known or hereafter devised)in perpetuity (or to the longest extent permitted byapplicable law) (the “Assigned Rights”) and You willexecute all public or private instruments that might berequested for this purpose, as an essential conditionto participate in the Promotion.9.2 To the extent that rights are not assignable, Youhereby grant to Red Bull a worldwide, valid for 25years, irrevocable, exclusive, royalty-free, transferableand sub-licensable license to use the Materials in anyand all media (now known or hereafter devised) (the“Licensed Rights”).]9.3 The Assigned Rights and/or the Licensed Rights coverall uses now known or later discovered, to the extentpermitted by law, whether by Red Bull, its affiliates orthird parties approved by Red Bull, including withoutlimitation broadcasting rights; making available to thepublic; on-demand rights; adapt and dub right,theatrical and non-theatrical rights; right of advertisingand promotion; merchandising rights; printpublication rights; audiobook rights and stage rights.Further, Red Bull, its affiliates and third partiesapproved by Red Bull, may edit, alter, dub, cut or inany way change the Materials in their sole discretion.The Organizer and Red Bull do not guarantee anyconfidentiality with respect to Entry Materials. Subjectto any license, You grant herein, any and all EntryMaterials that You upload, store, transmit, submit,exchange or make available to the Website aregenerated, owned and controlled solely by You, andnot by the Organizer or Red Bull. It is solely yourresponsibility to monitor and protect any intellectualproperty rights that You may have in your EntryMaterials, and neither the Organizer nor Red Bullaccept any responsibility for the same. You expressly8acknowledge that You and any person who appearsin the Entry Materials have the right to decline the useof the Entry Materials for marketing material. TheLicensed Rights are transferable and sub-licensable toall third parties, in particular to all affiliates of Red Bull(collectively the “Red Bull Group”).9.4 You represent and warrant that all necessary rights,permissions, consents and moral rights’ waivers (to thebroadest extent permitted by applicable laws) havebeen duly and effectively obtained from anyperformer, presenter, contributor or other personinvolved in the Entry Materials or rights, services orfacilities in connection with it. DO NOTTRESPASS OR HARM ANYONE’S PROPERTY.11.2 You represent that You do not have any condition andare not affected by any circumstances that wouldprevent You from safely participating in the Promotionor would pose a present risk to others. The Organizerand Red Bull are not responsible in case You are notphysically or mentally able to perform any or all of thetasks in connection with the Promotion. You also agreethat You are not otherwise prohibited fromparticipating in the Promotion for any reason. Yourepresent that You comply with any applicable laws,rules and/or regulations.11.3 There is no legal right to participate in this Promotion.The Organizer is not responsible if You are unable ornot allowed to participate in the Promotion for anyreason.11.4 To the extent permitted by law, the Red Bull Group,the Organizer, its affiliates, employees, agents anddistributors will not be responsible or liable tocompensate You (and/or your Guardian) or acceptany liability in connection with or arising out of thePromotion for (i) any loss of income, loss of profits,loss of data, loss of opportunity (in each case whetherdirect or indirect) and any indirect or consequentialloss and (ii) any indirect or consequential damages,no matter how fundamental (including by reason ofslight and gross negligence as well as willfulmisconduct).11.5 Further, under no circumstances the Red Bull Group,the Organizer, its affiliates, employees, agents ordistributors will be held responsible or liable for (i) anyloss or damage caused by a third-party; (ii) any failureor delay in the performance of its/their obligationsunder these Terms arising out of or caused by, directlyor indirectly, a force majeure event (as outlined inclause 5); or (iii) any loss or damage caused by theCovid-19 pandemic or similar epidemic or pandemic.11.6 Furthermore, the Red Bull Group, the Organizer, itsaffiliates, employees, agents and distributors will notbe liable for: (i) late, lost, delayed, damaged,misdirected, incomplete, illegible, or unintelligibleentries; (ii) telephone, electronic, hardware, orsoftware program, network, Internet, or computermalfunctions, failures, delays or difficulties; (iii) errorsin transmission; (iv) reward notification deliveriesattempted but not received; (v) any loss suffered byanyone who enters or attempts to enter and/orparticipate in the Promotion, whether the entry is lost,not submitted, wrongly processed or does not win.11.7 Notwithstanding anything to the contrary hereunder,Organizer does not limit or exclude its liability inrespect of any death or personal injury caused by itsnegligence or willful misconduct.11.8 In case the reward is a good or service offered by athird party, the responsible or liable company in caseof damages is the entity providing the service or good.11.9 In case a third-party platform is involved in thePromotion, You hereby release the third-party platformfrom any and all claims, damages or liabilities arising9from or relating to your participation in the Promotionto the extent permissible by law.12. GENERAL12.1 Please note that the official language will be Englishand that all interactions with the Organizer, includingthese Terms and further instructions in the course ofthis Promotion, will generally be in English language.Any translations are provided as a matter of courtesyonly, unless applicable law strictly requires theOrganizer to provide translations into the locallanguage.12.2 If any provision of the Terms will be held to be invalid,illegal or unenforceable, the validity, legality andenforceability of the remaining provisions of the Termswill not in any way be affected or impaired thereby.12.3 These Terms shall be governed by and construed inaccordance with the laws of the country, where theOrganizer has its registered offices. Whereparticipants have their place of residence in anothercountry, the application of mandatory statutoryprovisions of that country will remain unaffected bythe choice of law.12.4 All disputes arising out of or in connection with theseTerms should firstly be tried to be settled amicably. Ifnot, the disputes will be settled by the courts competentfor the registered seat of the Organizer unlessotherwise provided for by mandatory local consumerprotection law.
